1. Scope of Services

Geographic Availability: Simple Health Plus offers telehealth Services across the United States, subject to applicable state regulations.
Care Delivery: All medical and clinical services are provided by licensed healthcare professionals through Teladoc Health, Inc. or other independent professional entities. Simple Health Plus itself does not provide medical services.
Age Requirement: You must be at least 18 years old to enroll. Individuals aged 13–17 may use the Services only with verified parental or guardian consent.
Exclusions: Our Services are not intended for medical emergencies. If you are experiencing an emergency, call 911 immediately.
Provider Licensing Compliance: All medical professionals are required to be licensed in the state where the patient is physically located during the encounter. A clinician may decline service if your location or state regulations prohibit telehealth delivery..

2. Telehealth Informed Consent

By using our Services, you provide express informed consent to receive telehealth services delivered through telecommunications technology. You acknowledge and understand that:

  • Telehealth may involve limitations such as incomplete transmission, technology failures, or lack of in-person evaluation.

  • Clinicians may request verification of your identity and current physical location before beginning a session.

  • You may withdraw consent at any time, but doing so may affect service availability.

  • Telehealth is not equivalent to an in-person medical evaluation and may not be appropriate for all conditions.

3. Membership, Pricing, and Renewals

Subscription Plans: We offer monthly and annual subscription plans.
Billing: Monthly subscriptions renew automatically each month. New sign-ups are activated within 2 weeks prior to month-end. Annual subscriptions renew automatically every 365 days at a discounted rate.
Cancellation: You may cancel anytime. Cancellations take effect at the end of the current billing cycle.
Refunds:

  • Monthly memberships are non-refundable once the billing cycle begins.

  • Annual memberships may be prorated for refund based on the unused term plus one (1) additional month, provided written notice is received at least two (2) weeks before the end of the current billing month.

Example:
If an annual member cancels on
May 15, and the billing month ends May 31, the prorated refund will apply starting July 1, accounting for the one-month service buffer and remaining balance.

Payment Authorization: You authorize us (or our payment processors) to charge your designated payment method for all membership fees and applicable taxes.

4. Clinical and Prescribing Policy

Prescription Authority: Licensed clinicians may issue prescriptions where clinically appropriate, subject to applicable state and federal laws.
Exclusions: We do not prescribe controlled substances, non-therapeutic medications, or drugs restricted by law.
Specialist & Emergency Care: The Services are not a replacement for specialist consultation, physical examination, or urgent/emergency care.

5. Privacy & Data Use (Third-Party Vendor Policy)

Third-Party Vendor Role: Simple Health Plus functions strictly as an administrative platform facilitating telehealth access. We do not collect, store, or process Protected Health Information (PHI). All medical records are managed by Teladoc Health or other licensed entities providing care.
Data Retention: We retain only essential member data—such as contact information, subscription details, and billing records—necessary to maintain your account.
Privacy Policy: Our limited data collection and use are governed by our Privacy Policy, incorporated herein by reference.
De-Identified Data: We may use aggregated, non-identifiable data to evaluate platform performance, improve service offerings, or develop analytics.
Children’s Privacy: We do not knowingly collect information from users under 13, and users aged 13–17 require verified parental consent.

6. Acceptable Use

You agree not to misuse the Services, including but not limited to:

  • Providing false or misleading information.

  • Attempting to interfere with or disrupt our systems.

  • Using the Services for unlawful, fraudulent, or harmful activities.
    We reserve the right to suspend or terminate your access immediately for any misuse, violation, or fraudulent activity.

7. Electronic Communications

By using the Services, you consent to receive communications, notices, disclosures, billing statements, and policy updates electronically. You agree to maintain accurate contact information and to review communications sent via email or posted on our website. All notices we send are deemed received upon transmission.

8. Disclaimer of Warranties

Our Services are provided “as is” and “as available.”
We make no guarantees that the Services will meet your expectations, be error-free, or operate without interruption.
We do not warrant that telehealth sessions will be available in all locations or at all times.
No advice or information obtained through the Services creates any warranty not expressly stated herein.

9. Limitation of Liability and Refund Policy

All telehealth consultations and clinical decisions are the exclusive responsibility of Teladoc Health, Inc. and its licensed professionals. Simple Health Plus assumes no liability or responsibility for any professional medical advice, treatment, outcome, or failure of performance by any third-party provider.

Technical Disclaimers:
We are not liable for delays, service interruptions, or data transmission errors caused by internet connectivity, hardware, or third-party software issues.

Refunds and Cancellations:

  • Monthly memberships are non-refundable.

  • Annual memberships may be prorated for refund based on unused time plus one (1) additional month, provided timely written notice (two weeks before month-end).

  • Refunds, if applicable, will be processed to the original payment method within a reasonable period.

Example:
If you cancel May 15 and your billing cycle ends May 31, your prorated refund applies beginning July 1.

Liability Cap:
Our total liability to you for any claim shall not exceed the total fees paid by
you in the twelve (12) months prior to the event giving rise to the claim. We disclaim all liability for indirect, incidental, consequential, punitive, or special damages

10. Indemnification

You agree to indemnify, defend, and hold harmless Simple Health Plus, its affiliates, officers, and employees from all claims, losses, liabilities, damages, or expenses arising from:

  • Your use or misuse of the Services,

  • Any violation of these Terms, or

  • Your infringement of third-party rights.

11. Termination and Suspension

We may suspend or terminate your access to the Services at any time for violation of these Terms, suspected fraud, non-payment, or unlawful activity. Termination does not relieve you of payment obligations accrued before the effective date of termination.

12. Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of New Jersey.
Arbitration: Except for claims eligible for small claims court, any dispute will be resolved by binding arbitration under the rules of the American Arbitration Association.
Class Action Waiver: You waive the right to participate in any class, collective, or representative proceeding.
Limitation Period: Any claim arising under these Terms must be brought within one (1) year of the event giving rise to the claim.

13. Insurance & Professional Responsibility

All medical providers are responsible for their own professional licensure, malpractice insurance, and liability coverage.
Simple Health Plus does not assume responsibility for or guarantee the adequacy of such coverage.

14. Force Majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, power outages, cyberattacks, governmental actions, or telecommunications failures.

15. Severability & Survival

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.
Sections related to
liability, indemnification, refunds, dispute resolution, and privacy shall survive termination or expiration of these Terms.

16. Changes to Terms

We may update these Terms at any time. Revisions will be posted with a new “Last Updated” date.
Your continued use after updates constitutes acceptance of the modified Terms
